TERMS AND CONDITIONS OF SALE

The terms "Us", "Our", "We", "Seller" & "Vendor" refer to WHB Identification Solutions, DBA IDenticard. As outlined, the terms "Buyer", "You", "Your", "Yourself" or "Purchaser" refer to the IDenticard customer.

PRODUCTS AND PRICES


Products, prices, and terms and conditions are subject to change without notice. Customers will be notified of any such applicable charges due to changes in products, prices or terms when orders are placed.

CUSTOM CANCELLATION FEE


All custom orders are considered firm once proof is approved and in production and cannot be canceled without authorization. In such a case, a minimum $50.00 CAD cancellation charge may be charged and all related pre-production costs will be invoiced.

ARTWORK SPECIFICATIONS


Modifications to artwork will be quoted on a per order basis. A minimum charge applies. (No photocopies or faxes). The following computer files are acceptable: Adobe Illustrator latest version or less – files saves as .tiff, .bmp, .jpg, .psd or .gif – minimum DPI 150 – logos from websites are NOT acceptable. We also accept Corel Draw, PageMaker, and QuarkXPress files. Please specify the name and type of the files being sent. Please DO NOT embed files in a Microsoft Word file. Also include a colour copy for colour breakdown only. Pre-production custom-imprinted samples are available. Logos, Trademarks or Designs shown do not imply any endorsement by their owner but are simply to exhibit factory printing capabilities.

RESALE CERTIFICATE


A current Resale Certificate and tax exempt form must be submitted and "on file" prior to processing your initial order.

METHODS OF PAYMENT


  • C.O.D orders: By money order or certified cheque only. Subsequent C.O.D. orders may be paid by company cheque, with pre-approval of our Credit Department.
  • Credit Card: Visa, MasterCard, and American Express are accepted on point of sale transactions
  • Open Account: Payments made after 30 days may be subject to interest

RETURNED CHEQUES


There is a $20.00 CAD service charge for each cheque returned for any reason.

INTERNATIONAL ORDERS

Payment in advance in Canadian dollars is required. We will only accept L/Cs or wire transfers. All charges associated with freight, export handling, and specific freight forwarder is not requested, we will select one. Because these commodities and/or technologies are being exported from the United States in accordance with Export Administration Regulations, diversion contrary to U.S. law is prohibited.

SHIPPING METHODS


By UPS Ground Service or common carrier unless otherwise requested. Rush Shipments By your carrier choice and at your expense and approval.

PARTIAL SHIPMENTS


We will ship partial orders to speed-up delivery to customers unless told otherwise. If you require your order to ship complete please notify Customer Service while placing your order.

DAMAGED SHIPMENTS


All merchandise is inspected, weighed, and carefully packed for shipment before leaving any of our warehouses. The freight company accepts liability when the shipment leaves our facility. Upon delivery of your shipment, promptly check the number and condition of cartons against the Bill of Lading totals before signing the freight Bill of Lading. If damage or loss is discovered – either visible or concealed – you must file a claim with the freight carrier within 14 days of the delivery date. We assume no liability for shipments damaged during transit.

DISCREPANCIES


Any discrepancies between quantities shipped and quantities received must be reported to us within 24 hours of receipt of your order.

ACCEPTANCE AND FULFILLMENT OF ORDERS


Orders are subject to acceptance by us at our home office. The acceptance and fulfillment of orders and agreements made by us is contingent upon and subject to non-performance, delays, and interruptions resulting from accidents, break-downs, strikes, labour disputes, riots, sabotage, terrorism, insurrection, war, acts of God or the public enemy, and interruptions in or failure of sources of material supplies, equipment, labour and transportation, and other causes and conditions whether of like or different nature affecting us, and to orders, contracts, priorities, directives, requisitions or requests of the federal or provincial governments of Canada, or any foreign government, whether or not voluntarily assumed.

WARRANTIES LIMITATIONS OF REMEDIES AND DAMAGES


The material covered hereby (i.e. products sold by IDenticard) represent the material we believe to be suitable for the application based on information furnished to us. Our products are sold with the understanding that you will determine for yourself their suitability and adaptability to your intended uses. We warrant to you that our products are free from defects in material and workmanship. This warranty does not extend to any persons obtaining the product from you. This warranty is in lieu of any other warranties, express or implied, including but not limited to any implied warranty of merchantability or fitness for a particular purpose, and of any other obligation or liability on our part. Our liability and your remedies under the warranty are limited solely to repair; replacement or credit; at our option, of products shown to our satisfaction to have been defective at the time we sold them. Under no circumstances will we be liable for any incidental or consequential damages of any kind (including, but not limited to, labour costs or lost profits) resulting from the use of or inability to use our products. If you have specified or made reference to a source, trademark, or trademarked product not proprietary to us in your letter, inquiry, quotation request, blueprint or other specification, the product, material, or service referred to herein is not offered as a direct substitute but is our proprietary item that in our opinion is significantly different and has superior features.

SPECIAL WARNING FOR BREAKAWAY LANYARDS


Breakaway performance will vary and lanyards will not break away under all conditions. The male/female part pull force specification for round breakaways is 3-11 lbs under tested conditions per M-3-QA-0167. The male/female part pull force specification for flat breakaways is 4-10 lbs under test conditions per M-3-QA-0167. A full description of the M-3-QA-0167 test procedure can be provided upon request. Not recommend for use around moving objects or playgrounds.

LIMITED BREAKAWAY WARRANTY


BREAKAWAY PERFORMANCE WILL VARY AND LANYARDS WILL NOT BREAK AWAY UNDER ALL CONDITIONS. CUSTOMERS SHOULD TEST THE BREAKAWAY FEATURE FOR SUITABILITY FOR THEIR USE AND ENVIRONMENT. THIS PRODUCT IS SUBJECT TO A LIMITED WARRANTY. SELLER WARRANTS TO THE ORIGINAL PURCHASER FOR USE THAT THE GOODS OR ANY COMPONENT THEREOF WILL BE FREE FROM DEFECTS IN WORKMANSHIP FOR A PERIOD OF ONE YEAR FROM THE DATE OF PURCHASE. SELLER’S SOLE LIABILITY AND THE PURCHASER’S SOLE REMEDY FOR A FAILURE OF GOODS UNDER THIS LIMITED WARRANTY, AND FOR ANY AND ALL CLAIMS ARISING OUT OF THE PURCHASE AND USE OF THE GOODS, SHALL BE LIMITED TO THE REPAIR OR REPLACEMENT OF THE GOODS THAT DO NOT CONFORM TO THIS WARRANTY. THERE ARE NO EXPRESS OR IMPLIED WARRANTIES COVERING THESE GOODS OTHER THAN AS SET FORTH ABOVE.

PATENTS


In the event any product not made to your specification is claimed to directly infringe on any Canadian patent, copyright, trademark or other trade designation, trade secret, or other intellectual property right in effect in Canada at the time your order is accepted, we agree, at our option, to (1) procure for you the right to use the product; (2) modify or replace the product to avoid infringement; or, (3) accept redelivery of the product and reimburse you for the purchase price and any reasonable transportation expenses you incurred less a charge for reasonable wear and depreciation. If any litigation is instituted against you based on a claim that any product in the condition received from us so infringes, we will undertake the defense on your behalf provided we are given prompt written notice and are furnished with copies of all demands, processes and leadings and provided that you cooperate fully in giving us authority, information and assistance at our expense for such defense, as well as control over the defense and any settlement and negotiations with regard to settlement.

THE FOREGOING REPRESENTS OUR ENTIRE AND EXCLUSIVE OBLIGATION WITH RESPECT TO ANY CHARGE OF INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHT AND IS IN LIEU OF ANY STATUTORY WARRANTY RELATING TO INFRINGEMENT. WE WILL HAVE NO RESPONSIBILITY IF ANY ARTICLE IS MODIFIED BY YOU OR IS MADE OR MODIFIED BY US IN ACCORDANCE WITH YOUR ORDER OR THE ARTICLE IS USED IN COMBINATION WITH ANY MACHINES OR DEVICES NOT SUPPLIED BY US, AND YOU WILL INDEMNIFY, DEFEND AND HOLD US HARMLESS AGAINST ALL DAMAGES, COSTS OR EXPENSES, INCLUDING REASONABLE LEGAL FEES PAID OR INCURRED BY US IN CONNECTION WITH ANY CLAIM OF INFRINGEMENT OF AN INTELLECTUAL PROPERTY RIGHT THAT ARISES OUT OF COMPLIANCE WITH YOUR SPECIFICATIONS OR USE OF THE ARTICLE IN COMBINATION WITH OTHER MACHINES OR DEVICES. WE ALSO WILL HAVE NO RESPONSIBILITY WITH REGARD TO ANY SETTLEMENT ADMISSION OR PROMISE MADE BY YOU WITHOUT PRIOR WRITTEN CONSENT, NOR WILL WE BE LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING LOST PROFITS, CLAIMS TO HAVE BEEN SUSTAINED BY YOU OR ANY USER OF THE PRODUCTS ARISING OUT OF ANY CLAIM OF INFRINGEMENT.

QUANTITIES


Prices in relation to a given quantity apply only to a continuous production run of that quantity unless specifically otherwise stated, such continuous run being at our discretion. If quantities are reduced or shipping instructions necessitate runs of lesser quantities, the price applicable to the lesser quantity will apply. If a lesser quantity is not covered by a quotation, a price adjustment will be made under the formula regularly used by us.

OVERRUNS AND UNDERRUNS


On Special Orders, we reserve the right to ship not in excess of ten percent over or under the quantity ordered.

SHIPMENT


Unless otherwise specified on the front of this form, all shipments are F.O.B. our company's shipping point. Shipping dates on any letter, inquiry, quotation request, or purchase order are estimates only. In ordering, you should state explicitly the method of shipment preferred and by what carrier. In the absence of shipping directions, we will use our discretion in forwarding the products.

TERMS OF PAYMENT


Payment terms are net 30. Open account terms are subject to approval by the Credit Department after receipt of your order.

Payment must be made by such means as Seller may specify, such as by cheque or electronic funds transfer, provided that Seller may refuse, in its sole discretion, payment by any means, including, without limitation, credit cards.

TAXES


The stated prices do not include any Sales, Use, Goods and Services Tax (GST), or other Excise tax and the amount of any thereof that we are required to collect will be invoiced to you.

CLAIMS; CANCELLATIONS


All claims must be made within 30 days after receipt of the products. We reserve the right to accept or reject any claim in whole or in part. The cancellation, modification or suspension of your order will not be accepted on terms that will not fully indemnify us against loss, including recovery of all direct costs incurred, attendant normal indirect and overhead charges and a reasonable profit.

RETURNS


Written permission must be obtained from our Company to return any goods furnished by us. All returns must comply with the "Brady Ease" program. Further details of our "Brady Ease" program can be furnished at your request.

TOOLING, NEGATIVES AND PLATE CHARGES


Any tools, negatives, or plates will be maintained free of charge by us while being used in production and for 24 months following the last date of use, after which they will be destroyed unless other specific written arrangements are made. Tools, negatives and plates are our property.

ARTWORK


Due to special mechanical requirements in the manufacture of our products, all artwork submitted by you is subject to our approval. If additional charges for retouching and/or rework are necessary, you will be notified and billed at cost.

MODIFICATIONS


No waiver or modification of any of the provisions hereof shall be binding upon us unless in writing and signed by an authorized representative.

APPLICABLE LAW


This agreement will be governed by and constituted in accordance with the internal laws of the Province of Ontario.

CONTRARY TERMS; ENTIRE AGREEMENT


YOUR ORDER IS ACCEPTED ONLY ON THE GENERAL CONDITIONS CONTAINED HEREIN AND THE PROVISIONS OF ANY PURCHASE ORDER OR OTHER WRITING INCONSISTENT HEREWITH WILL NOT CONSTITUTE A PART OF THE CONTRACT OF SALE. Our acceptance is conditional on your assent to these General Conditions and if any of these General Conditions are not acceptable to you, we must be notified promptly. This writing is intended by you and us to be the final expression of our agreement and is intended also as a complete and exclusive statement of the terms and conditions thereof.
